This SecureStat® site and associated functions and software ("System") is only available to commercial entities (each a “Participant”) who have entered into in a services agreement (“Services Agreement”) with Securitas Electronic Security, Inc., and to Participant’s authorized representative ("Focal Point") and authorized additional users ("Users") (individually and collectively "You"). Unless otherwise defined herein, capitalized terms shall have the same meaning as they have in the Portal Agreement. In order to access the System, You, must agree to the following terms and conditions ("Agreement"):

1. Authorized Users and Agreement to be Bound. You represent and agree that the Participant for which You are acting as Focal Point or User is currently a party to a valid Agreement with Securitas Electronic Security or that You have the authority to, and by Your assent to this Agreement do, bind Participant to the Agreement. You represent and agree that You are authorized by Participant to access the System on behalf of Participant, either as Focal Point or User. You agree to be bound by and comply with all terms and conditions of the Agreement. If You do not agree to be bound by this Agreement, then you are not permitted to, and must not access or use the System.

2. Responsibility for System Activity. You represent that Participant is a commercial business entity, and that in accessing the System You are acting in Your capacity either as representative of Participant, if a Focal Point, or in Your capacity as employee of Participant, if a User. You agree that you are solely responsible for any data, reports, text, graphic images, or other information that are generated and/or arise out of access or use of the System (collectively, the “System Data”). You acknowledge and agree that You are only granted a limited, non-transferrable, non-sublicensable, non-exclusive right to access and use such System Data solely in connection with Your permitted use of the System, and all such System Data is and shall remain the sole and exclusive property of Securitas Electronic Security. You further agree that Your use of the System will not include the entry of any Personal Information, that is, information that can be used to identify, locate, contact, describe, or that relates to or could reasonably be linked with a natural person or household. Securitas Electronic Security may rely on any of Your inputs into, or actions in connection with, the System, and that You and Participant are legally bound thereby.

3. Limited Liability. You agree that, neither Securitas Electronic Security nor any Securitas Electronic Security supplier, shall have any liability nor incur any incidental, consequential, special, direct or indirect costs or damages whatsoever, whether on the basis of contract, tort (including without limitation, negligence, product liability or strict liability), or on any other common law or statutory basis whatsoever, to You, Participant or to any third party, due to Your access or use of the System. All information, software, documentation and other items, whether tangible or intangible, which You or Participant may use in conjunction with or receive from the System, are provided AS IS AND WITHOUT WARRANTY. Securitas Electronic Security reserves the right to deny access to the System to You or Participant at any time with or without cause.

4. License for Use of Your Information; No Input of Personal Data. Securitas Electronic Security assumes no privacy obligations or restrictions whatsoever with regard to information input by You into the System, or information that Securitas Electronic Security may collect from You in connection with using the System. Without limitation, You expressly grant Securitas Electronic Security the rights to use, transfer, and disclose such information for any purpose Securitas Electronic Security believes necessary or appropriate to (a) comply with relevant laws or to respond to subpoenas or warrants served on Securitas Electronic Security or (b) to protect and defend the interests, rights, or property of Securitas Electronic Security or third parties. Securitas Electronic Security MAKES NO WARRANTY CONCERNING THE USE OF INFORMATION THAT YOU PROVIDE OR SECURITAS ELECTRONIC SECURITY GATHERS IN THE COURSE OF YOUR USE OF THE SYSTEM.

5. Privacy. Securitas Electronic Security understands the need to safeguard Personal Information and records from unauthorized use and disclosure. Please see the Securitas Electronic Security Privacy Policy and Your executed Service Agreement, which are incorporated by reference into this Agreement, and which governs how we collect and use Personal Information. Google Maps. This System contains Google Maps features and content, which are subject to the current version of the: (1) Google Maps/Google Earth Additional Terms of Service; and (2) Google Privacy Policy. (collectively, "Google Terms") Your use of the System shall comply with all terms herein, including the Google Terms.

6. Security. Securitas Electronic Security will use commercially reasonable efforts to protect the security of Your information in accordance with industry standards, and will process Your information in a manner that ensures appropriate security of such information, including protection against unauthorized or unlawful processing and against accidental loss, destruction or damage, using appropriate technical and organizational measures. The System is secured in accordance with the terms of the Agreement and Privacy Policy.

7. Fraudulent, Illegal or Improper Activity. You agree that you will not (i) use, access, download, extract, copy, duplicate, transcribe, replicate, mirror, and/or simulate any System Data in any manner outside of the System; (ii) reverse engineer, disassemble, decompile, or otherwise attempt to extract or derive any aspect or component of any part of the System; (iii) modify, copy, translate, adapt, or otherwise create derivative works of or improvements to any part of the System; (iv) work around any technical limitations in any part of the System intended to restrict the manner in which You may use the System; (v) access or utilize the System and/or any System Data for the purpose of building a competitive product or service to, or using similar ideas, features, functions, or graphics as, the System; (vi) allow any third party to use any part of the System without Securitas Electronic Security’s prior written consent; (vii) distribute, sublicense, sell, rent, lend, assign, publish, or otherwise transfer all or any part of the System and/or any System Data to a third party for any reason; (viii) disclose any performance information or analysis (including benchmarks) from any source relating to the System; or (ix) use the System and/or any System Data for any illegal, fraudulent, unauthorized, or improper activity; (each a "Prohibited Use"). If we suspect that you may be engaging in any Prohibited Use, including any violation of any terms or conditions relating to the System, System Data and/or any service or product by Securitas Electronic Security, your access to the System, System Data and any service or product may be suspended or terminated without notice.

8. Authority to Bind. You further acknowledge and agree that Your inputs provided to the System indicating agreement serve as Your and Participant’s legally valid electronic signature which shall be as fully effective as if it was a written signature, and shall be fully legally binding upon You, Participant, Securitas Electronic Security’s affiliates, subsidiaries, successors and assigns for all purposes including, but not limited to, the purchase of goods or services. This Agreement shall be deemed to be in writing for any and all purposes, and Securitas Electronic Security’s grant to You and/or Participant to the System shall constitute Securitas Electronic Security’s binding electronic signature to the terms and conditions of this Agreement.

9. Applicable Law. This Agreement shall be governed and construed in accordance with the laws of the State of Ohio, USA, as if it was entered into, and was to be entirely performed, within the State of Ohio, and without regard to any conflicts of laws provisions thereof. By using the System, You and Participant irrevocably consent to the exercise of jurisdiction of, and venue in, any state or federal court of competent jurisdiction located in Ohio. In the event any provision of this Agreement is found to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect, and in addition Your and Participant’s rights to access the System shall immediately terminate. This Agreement and any rights granted hereunder cannot be assigned, and any attempted assignment shall be null and void for all purposes.

10. Enforceability. You acknowledge and agree that access to the System at any time or on any one or more occasion(s) constitutes good and valuable consideration, and that You and Participant are legally bound by the terms herein (including any terms in the Agreement and Privacy Policy). This Agreement, together with the Services Agreement, states the entire agreement concerning the subject matter hereof. This Agreement shall be effective to amend and supersede any prior agreement inconsistent herewith. No modification, waiver or change to this Agreement shall be effective unless in writing and by the duly authorized representatives of Participant and Securitas Electronic Security. This Agreement shall continue in effect until You are given notice of termination by Securitas Electronic Security.

If you are a California user, you have certain rights with respect to the collection, use, transfer, and processing of Personal Information, as defined by the California Consumer Privacy Act (“CCPA”) and outlined in the Privacy Policy. To exercise these rights, please contact Your Participant’s customer success representative.
